(Internal) Referencing a previously signed Order Form or MSA on a new Order Form

If your customer is asking to reference a previously signed Order Form or MSA as the governing document for a new deal instead of the online MSA or negotiating a new MSA, you can insert the following language in the Contract Notes section of the new Order Form.

Variation 1 (MSA is attached to an expired Order Form and not separately signed) :

Notwithstanding anything to the contrary in the ‘Order Form Terms’ section of this Order Form, the Services set forth in the “Gem SaaS Subscription Services” table shall be governed by the Terms and Conditions attached to the Order Form entered into by the parties with an effective date of [INSERT Order Form Effective Date].

Variation 2 (MSA is separately signed) :

Notwithstanding anything to the contrary in the ‘Order Form Terms’ section of this Order Form, the Services set forth in the “Gem SaaS Subscription Services” table shall be governed by the Terms and Conditions Agreement entered into by the parties with an effective date of [INSERT MSA Effective Date].
