With manager and Deal Desk approval, you can use the following language in the Contract Notes section of the Order Form to offer price protection for renewal terms. The % of cap is negotiable, but we will not go below 3% in any instance and our default is 5%. We also specify that the protection applies to the per seat license price and not the other modules on the Order Form, but we can negotiate that as well.
Renewal Pricing: For the first renewal of this Order Form, any increase in the annual per seat Unit Price for the [“AI-Powered Recruiter Licenses”/or “Recruiter Licenses”] purchased hereunder will not exceed five percent (5%) of the annual Unit Price set forth in the fee table above, provided that such renewal is for a minimum of one (1) year and for a quantity of [“AI-Powered Recruiter Licenses”/or “Recruiter Licenses”] seats that is at least equal to the greater of (a) the Quantity of [“AI-Powered Recruiter Licenses”/or “Recruiter License”] set forth in the fee table above, or (b) the number of [“AI-Powered Recruiter Licenses”/or “Recruiter Licenses”] purchased as of the start date of the applicable renewal Order Form. For clarity and notwithstanding anything to the contrary, the pricing, discounting and fees offered here are a one-time accommodation, limited only to this Order Form, and shall not apply to any renewal.
If the customer/prospect has a question on why the price cap only covers the license SKUs, you can use the following text:
Our pricing protection framework is intentionally designed around individual license types to provide both parties with meaningful certainty while preserving necessary business flexibility. By tying pricing protection to specific license seats, customers gain clear visibility into their core user costs while accommodating the dynamic nature of customer growth patterns. As teams expand, customers can adjust seat counts with confidence in their per-seat pricing, providing the cost certainty needed for workforce planning while maintaining flexibility in scale.
Extending pricing protection beyond core licenses would inappropriately constrain our ability to deliver innovation and could inadvertently lock customers into legacy offerings rather than benefiting from product improvements. Our broader product portfolio undergoes continuous evolution with new features, enhanced capabilities, and refined packaging to meet evolving market needs. This targeted approach ensures customers receive substantive pricing protection where it matters most while preserving the operational flexibility necessary for continued platform enhancement and service excellence.
