If a customer wants to renew early, terminating their existing contract before the term end date and started a new contract, we should add the following language to the Contract Notes section of the new Order Form:
Customer wishes to renew its subscriptions under the existing Order Form entered into by and between the parties with an Effective Date of [INSERT EFFECTIVE DATE] (the “Existing Order”) before the expiration of the Services Term set forth therein. Accordingly, as of the Effective Date set forth above, this Order Form replaces such Existing Order, which is hereby terminated. Any credits or debits applicable to fees paid or owed in relation to the terminated Existing Order will be applied to this Order Form. Any invoices under the terminated Existing Order that are unpaid as of the Effective Date set forth above are immediately due and payable as of the execution of this Order Form. For any Services under the Existing Order that have been paid for but remain undelivered as of the Effective Date set forth above, Gem will issue a pro-rated credit to Customer that can be applied to any unpaid invoice under this Order Form.
